1. Introduction

Welcome to RupsTech.
By accessing or using our website, software, or services, you agree to comply with and be bound by these Terms of Service (“Terms”).
If you do not agree, you may not access or use our products or services.

These Terms apply to:

• Our enterprise IT services (Custom Software Development, ERP, CRM, AI & ML Solutions, and Mobile App Development),
• Our SaaS products (EdTech and HealthTech platforms), and
• Any associated websites, portals, and APIs operated by RupsTech.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use our services.
If you are using our products on behalf of an organization, you represent that you have the authority to bind that entity to these Terms.

3. Services Overview

RupsTech provides:

• Custom IT Services: Software, mobile apps, ERP/CRM, and AI/ML development.
• Product Suites:
  • EdTech – tools for schools, colleges, and universities.
  • HealthTech – solutions for hospitals, clinics, and healthcare professionals.
  • Profile Macher– Solutions for B2B companies to get more accurate candidates profile

Each service or product may have additional terms or service-level agreements (SLAs), which form part of this Agreement.

4. Account Registration

Some services require registration. You agree to:

• Provide accurate and complete information.
• Maintain the confidentiality of your credentials.
• Notify us immediately of unauthorized access or use.

You are responsible for all activities under your account.

5. Use of Services

You agree to use our services:

• In compliance with all applicable laws.
• For lawful business or educational purposes only.
• Without infringing on the rights of others.

You shall not:

• Reverse-engineer, copy, or resell our products without consent.
• Upload malicious code or disrupt system functionality.
• Misuse APIs or attempt unauthorized access.

6. Intellectual Property

All materials, software, code, trademarks, and content made available by RupsTech are owned by or licensed to us.

You are granted a limited, non-exclusive, non-transferable license to use our products or software for your business purpose.
You may not reproduce, distribute, or modify any part of the service without written permission.

7. Fees and Payment

For paid services:

• Fees are defined in the relevant proposal, quotation, or subscription plan.
• Payments are due as per agreed terms (monthly, quarterly, or annually).
• Delayed payments may result in suspension of service.

All fees are non-refundable, except where expressly stated in our Refund & Cancellation Policy.

8. Project Delivery (for Custom Software Clients)

For project-based engagements:

• Timelines, deliverables, and scope will be defined in the respective Statement of Work (SoW) or Service Agreement.
• Any scope changes will require written approval and may incur additional costs.

RupsTech retains the right to use non-confidential learnings, code frameworks, and libraries developed during engagements for future projects, unless otherwise agreed.

9. Data Protection and Privacy

We handle personal and business data in accordance with our Privacy Policy, available at:

For EdTech, HealthTech & Profile matcher users:

• RupsTech adheres to data privacy regulations including FERPA, HIPAA, GDPR, and NDHM standards where applicable.
• Sensitive data is encrypted and accessed only by authorized personnel.

10. Confidentiality

Both parties agree to:

• Keep all non-public information confidential.
• Use such information solely for the purposes of performing obligations under this Agreement.

Confidentiality obligations survive termination of this Agreement.

11. Warranties and Disclaimers

RupsTech provides its services “as is” and “as available”, without any warranties unless otherwise specified in writing.

We do not guarantee:

• Continuous or error-free operation.
• Compatibility with all devices or third-party systems.
• Specific performance outcomes.

12. Limitation of Liability

To the maximum extent permitted by law, RupsTech shall not be liable for:

• Any indirect, incidental, or consequential damages.
• Data loss, revenue loss, or business interruption.

Our total liability shall not exceed the amount paid by you in the preceding 12 months for the applicable service.

13. Third-Party Services

Some RupsTech products may integrate with third-party APIs or platforms.
We are not responsible for:

• Third-party content, functionality, or data handling practices.
• Damages or issues arising from third-party integrations.

14. Termination

We may suspend or terminate your access if:

• You violate these Terms;
• Payment obligations remain outstanding; or
• Required by law or regulatory order.

Upon termination, your right to use our services ceases immediately.
You must delete all copies of our proprietary materials.

15. Refund and Cancellation Policy

• Subscription-based services may be canceled with prior notice as defined in the subscription terms.
• Refunds are provided only in cases of duplicate payment or service non-delivery.
• For custom projects, payments made toward completed milestones are non-refundable.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed under the laws of India.
In case of dispute:

• Parties will attempt amicable resolution first.
• If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.

17. Updates to Terms

RupsTech reserves the right to modify these Terms from time to time.
The updated version will be posted on our website, with the “Last Updated” date revised accordingly.
Continued use of our services implies acceptance of the updated Terms.
